Add/Edit Classes (New Investor Portal)

Step 1: Go to the desired entity/class. Click the 3 dots (…) on the top right. Then click the Add Classes if this is your first time adding a class. If you've added your classes previously, the text will read Edit Classes


Step 2: Add or edit any of the equity class details. Here, you can also add or delete the classes. 


  • Percentage or Shares: How the ownership of the deal is referred to.
    • Most clients use percentages but refer to your operating agreement.
    • Shares aren't limited to 100 like percentages are, but percentages can be easier to calculate.
    • Shares: When you have shares, the ownership is dictated by the shares for the class with respect to the total number of shares
      • Ex: If you have 105 shares in Class A and 95 shares in Class B, the ownership percentages would be Class A: 52.5% (105/200), Class B: 47.5% (95/200)
      • Offering Price (Shares Only): This is the price per share.  (# of Shares x Offering Price = Target Amount)
        • Ex: If you have 10 shares in a class and the offering price is 25, the target amount should be $250
  • The hide/show toggle button located within the class details section controls how you show the entity tile and what classes will be shown on the offering details page and investment wizard.
  • Type of Equity: This is customizable and defaults to Equity. Examples include Preferred Equity, Common Equity, Note, etc.
  • Ownership of Entity: How much of the entity the class owns.
    • If you only have one Class, this will be 100%. If there are multiple classes, input the relevant %. Ownership must tie out to 100% or you will not be able to proceed with the class creation/edit.
  • Target Amount: This is the goal amount for your raise.
    • On a closed deal, you will have this information. For an investing deal where you are actively raising capital, put the anticipated target amount
  • Minimum and Maximum payments: Control what investors have to place a minimum or maximum amount they can enter to participate in the raise. 
  • Preferred Return: This is the investor interest rate for the class
    • If the deal pays a preferred return, input the rate in this field. If your deal does not pay a preferred return, input nothing.
    • You do have the ability to edit this on an investor-by-investor basis as well when you're adding the investments into the cap table.
  • Projected IRR: You can choose to input the expected rate of return for the class 
  • Accreditation Method: Select whether you'll be using the self accreditation method or VerifyInvestor which runs through a 3rd party. 
  • You'll notice an icon to the right of the class details:
    • Trash can - allows you to delete a class. Keep in mind that there must be at least one class for investors to invest in.

Note: When deleting a class with data associated with that class (investments, distributions, etc.), you will also be deleting all applicable items. Please be aware that the process of deleting is permanent, and classes and associated details may take a few minutes to delete. You will receive an email when the process is complete. Click Delete. Click Next (if applicable) and then click Save.

Step 3: Here, you will have the ability to see all investors in that class (or classes). Note the option to Expand All to see the details of the investments and to edit all the details of the investment. Any edited fields in the class need to meet 100% ownership and reach the investment amount. Click Save.


If you are moving an investment from one class to another, note that this is a multi-step process.

  1. Confirm that the receiving class can accommodate both the Equity and the Ownership of the investment that is being moved over. If the target amount is not high enough to accommodate the investment that is being moved, then it should be increased first.
    1. Originally: Class A - $1,000,000 - 90% / Class B - $100 - 10%
    2. Updated: Class A - $750,000 - 67.5% / Class B - $250,100 - 32.5%

After the class equity amounts have been adjusted, you would have more capacity to accommodate any investments moving over. Select the blue 'Next' button and you'll be brought to a page where all investments will be listed.

  1. Each investor will have an arrow (>) to the left of their name that you can use to expand to see some more details. There's also Expand All/Collapse All buttons above the investor list. Once you expand the investment, you'll see a class drop-down that has the class the investor is in currently, so you can simply choose the desired class from the drop-down to move them to another class. You can also make modifications to the additional investment details (investment amount, shares/ownership, date, status).
  2. In the case that the changes made cannot be accommodated by the investments that were moved to it, the class investment totals and ownership/shares will turn from black text to red text and you also won't be able to save your changes until the proper changes have been made to accommodate incoming investors.
